Introduction
These General Terms and Conditions of Sale are up to date as of May 13, 2025.
Between: Hereinafter referred to as MARVIN or “the Company”
MARVIN, a 907981237 , and whose registered office is located at 126 rue Saint Maur, 75011 Paris, France.
And
Together
MARVIN’s business is the creation, development, and marketing of SaaS software.
Definitions
The term "Client" refers to any individual or legal entity that has subscribed to Marvin's service and qualifies as a professional under the French Consumer Code.
The term "Third Party" refers to any individual or legal entity not party to these General Terms and Conditions of Sale (GTC).
The term "Service" or "Software" refers to the provision by Marvin of licenses to its recruitment software to the Client.
These GTC supersede any prior document, written or oral agreement relating to the same subject matter, and prevail over any conflicting provisions that may be contained in documents originating from the Client.
1. ARTICLE 1 – Purpose
These general terms and conditions (hereinafter “GTC”) define the terms and conditions under which Marvin (hereinafter “the Company”) provides the client (hereinafter “the Client”) with licenses for the use of its recruitment software (hereinafter “the Software”).
These general terms and conditions (hereinafter “GTC”) are systematically sent or provided to each Client before subscription. Consequently, signing the quote implies the Client's full and unreserved acceptance of these GTC, to the exclusion of all other documents in their possession, such as catalogs or advertising brochures issued by Marvin, which shall have only indicative and non-contractual value.
2. ARTICLE 2 – Description of the service
Subject to any specific terms agreed upon between the Client and MARVIN, the service consists of providing SaaS-based software that allows users to:
- create, store, and manage information on companies and candidates
- track and manage recruitment activity and candidate processes
- publish job postings on job boards.
The Company grants the Client a non-exclusive and non-transferable right to use the Software in accordance with the terms hereof. This right is strictly limited to the number of licenses purchased by the Client.
Before using the Site and the service, the Client must ensure that they have the necessary technical and IT resources to use the Site and order services on the Site, and that their browser allows secure access to the Site. The Client must also ensure that their computer hardware/equipment is in good working order and free of viruses.
The service is accessible online. It provides access to the features detailed during the service subscription process. The Company expressly reserves the right, without compensation, to modify, for improvement purposes, without prior notice and at any time, all or part of the service or its access methods and, where applicable, the presentation and/or content of the features.
Any request for additional features will be subject to a special order between the Client and Marvin, not included in the initial license price, and a quote will be provided.
Multi-posting offer:
- MARVIN offers the client a multi-posting service allowing them to publish a job advertisement on different job boards, included in the price of their Marvin subscription.
- The Client can post a job advertisement on all the job boards that MARVIN makes available to the client.
- The client must, if necessary, create an account with the partner (job board) on which they wish to publish their advertisements, unless posting is free.
- The multi-distribution offer allows you to distribute on job boards but does not in any way cover the costs incurred by the job boards themselves if there are any (example: price of subscription to the job board), which will remain the responsibility of the Client.
3. ARTICLE 3 – Access to service and maintenance
The Client accesses the online service via the Internet, through the Website, using a username and password provided upon account creation.
The Client will thus have access to the service in SaaS mode 24/7, except in cases of maintenance, outages, or force majeure affecting MARVIN.
The Client is responsible for subscribing to an Internet service provider (ISP) to access the Website and the service. The Client ensures the compatibility of their technical environment required for accessing and/or using the service.
The Client agrees to provide their data within a reasonable timeframe and in a compatible format so that Marvin's technical teams can integrate it into the tool. Marvin will not perform any data import work if the Client has not paid their first invoice according to the terms of their contract.
The Client's subscription to the service is valid only for its representatives and employees, based on the number of active users of the chosen subscription, and may not be used by any third party under any circumstances. The Client acknowledges that the service access codes are strictly personal, confidential, and non-transferable. The Client agrees to maintain the confidentiality of its service access codes and to take all necessary measures to prevent the disclosure of these codes, which would allow third parties to access the service unlawfully.
The Client agrees not to resell the services included in the service to its own clients or third parties. In the event of a breach of this obligation, MARVIN may immediately suspend the provision of its services without having to provide any justification to the Client.
The service is regularly updated by MARVIN. MARVIN undertakes to make every effort to ensure that maintenance operations do not disrupt the Client's use of the service. When maintenance or updates result in service interruptions, MARVIN will notify the Client as soon as possible.
The Client may submit a complaint to support@marvinrecruiter.com .
4. ARTICLE 4 – Duration and renewal
The license is granted for an initial term of twelve (12) months or more, subject to any specific conditions agreed upon between the Client and the Company, starting from the activation date.
The activation date is effective when the Client has access to the tool.
At the end of the initial term, the license is automatically renewed for a period identical to the initial commitment period, unless terminated in accordance with Article 6 or specific negotiated conditions.
The Client may add additional licenses to their subscription at any time. These additions will be subject to a separate quote and invoice. The validity of the additional licenses granted will begin on the activation date, and the end date of the commitment period will be the same as the end date of the initial contract, ensuring an equal commitment period for all licenses combined.
5. ARTICLE 5 – Price and payment terms
The price of the user license is indicated per user, in euros and excluding taxes, in the quote attached hereto.
User licenses are billed annually and payable in advance, subject to any specific conditions agreed upon between the Client and the Company.
Upon signature of the quote and the General Terms and Conditions of Sale and Use (GTCU), the Client will receive an invoice equal to the amount agreed upon in the quote, payable by credit card, direct debit, or bank transfer upon receipt of the invoice. Payment must be made before the user onboarding date. Any month commenced is due in full by the Client.
Renewal invoices are payable upon receipt by credit card, direct debit, or bank transfer.
When adding additional licenses during the first year only, the Client will benefit from the same pricing and commitment terms as their initial contract. Beyond the first year of commitment, Marvin's current prices will apply. These additional licenses will be billed annually and payable in advance upon receipt of invoice, subject to any specific terms agreed upon between the Client and the Company.
MARVIN may modify the service fee, provided that it informs the Client by any means at least thirty (30) days before the effective date of this price change. The new service fee applies only to renewals of the service. The Client is free to object to the price change by sending a request to support@marvinrecruiter.com within ten (10) days of notification to the Client. If no cancellation request is received within this period, the Client will be deemed to have accepted the new service fee.
The Company reserves the right to suspend or cancel any service in the event of non-payment or partial payment of any sum owed by the Client to the Company.
Any payment made after the deadlines set forth in this agreement will incur late payment penalties at an interest rate of 15%. Late payment penalties accrued for at least one full year will be added to the initial principal amount of the debt and will accrue interest under the same conditions, at the aforementioned interest rate of 15%.
Any late payment will automatically incur a fixed penalty of €40 for recovery costs, charged to the client's expenses. In accordance with Article L. 441-10 of the French Commercial Code, if the recovery costs incurred by the company exceed this fixed penalty, the company may claim additional compensation.
6. ARTICLE 6 – Termination
The customer may terminate their subscription at the end of their commitment period, provided they give one month's notice by registered letter with acknowledgment of receipt or by email.
In the event of early termination of the contract, for any reason whatsoever, all sums remaining due from the customer under their commitment will become immediately payable, without prejudice to any damages that may be owed to the Company. No refund will be offered for any partial or total use of the service.
The Company reserves the right to terminate the license immediately in the event of non-payment or a serious breach of these Terms and Conditions.
The customer's data will be returned by Marvin in a compatible format (CSV, SQL, JSON). The data will be returned within ten (10) business days of the termination request.
7. ARTICLE 7 – Warranty and Liabilities
The Client is solely responsible for their use of the service, including the use and interpretation of the information provided by MARVIN, as well as any actions and advice derived from it in the course of their professional practice. MARVIN will only be bound by the legal warranties applicable to its service, if any, to the exclusion of any other warranty. MARVIN's liability for direct and proven damages caused to the Client is strictly limited to the amount of the order in question. Under no circumstances will MARVIN be liable for indirect, incidental, or special damages, as defined by French case law.
MARVIN will under no circumstances be liable for: (i) damages resulting from the Client's failure to perform its obligations; (ii) any financial or commercial loss, such as, for example, lost profits, loss of customers, loss of data, any business disruption, or loss of orders, which constitute unforeseeable and indirect damages and therefore do not give rise to compensation.
MARVIN cannot be held liable for non-performance of the contract in cases of force majeure, as defined by Article 1218 of the French Civil Code and French case law, nor for damages resulting from a third party or attributable to misuse or improper use of the services by the Client, in violation of MARVIN's instructions or industry standards.
The Client is also informed that the MARVIN software may include interface functionalities with third-party services, such as LinkedIn or other platforms, via technical extensions. As these third-party services are independent of MARVIN, their access, availability, and terms of use may change without notice. MARVIN cannot be held liable in the event of any restriction, suspension, modification, or prohibition of access to all or part of these third-party services, including when this affects the software's functionality. It is the Client's responsibility to ensure compliance with the terms of use of these third-party services and, where applicable, to obtain the necessary access rights.
8. ARTICLE 8 – Intellectual Property
The service, as well as all data appearing on the Site, is protected by copyright and database rights in accordance with the French Intellectual Property Code. These elements may not, under any circumstances, be reproduced, represented, loaned, exchanged, sold, distributed, or transmitted, even partially, except as expressly authorized by law or stipulated in the contract. The service's functionalities may not be used to infringe or misappropriate these intellectual property rights.
The Client is prohibited from using the service for any purpose other than those expressly stipulated in the contract, and is also prohibited from disseminating, publishing, selling, or exchanging, in any way whatsoever, the content to which they have access, and more generally from infringing, directly or indirectly, in any way whatsoever, upon MARVIN's rights.
The Client agrees not to recreate or attempt to recreate, using the data and/or the service, a database intended to offer, directly or indirectly, free of charge or for a fee, the same or a comparable service to any third party outside its company, with the aim of circumventing the personalized access to the service it benefits from.
The Client also agrees more generally not to infringe upon the intellectual property rights held by MARVIN in the service or any other element appearing on the Site that is protected by intellectual property rights, including trademarks and logos.
9. ARTICLE 9 – Confidentiality of customer data
The provisions concerning the protection of personal data, as set out in the French Data Protection Act of 6 January 1978, as amended by the Act of 20 June 2018 relating to the protection of personal data, and the European General Data Protection Regulation (“GDPR”), are located in an annex entitled “Privacy Policy”, accessible at the following link: https://marvinrecruiter.com/politique-de-confidentialite/
10. ARTICLE 10 – Insurance
Each Party undertakes to maintain in force, for the entire duration of the performance of the contract, with a reputable and solvent insurance company, an insurance policy guaranteeing damages that may occur to its property and personnel, as well as a policy covering its professional liability, so as to cover the financial consequences of bodily injury, property damage and intangible damages for which it may be held responsible, caused by any event and which may be the act of its employees and/or any partner companies during the performance of the contract.
11. ARTICLE 11 – General Provisions
This contract is interpreted and governed in accordance with French law, without regard to its conflict of law principles.
If any provision of these General Terms and Conditions of Sale (GTC) or its application to any person or circumstance is deemed invalid, such invalidity shall not affect the other provisions or applications of these GTC, which shall remain in full force and effect, separate from the provision deemed invalid. To this end, the provisions of these GTC are declared severable.
The Commercial Court of Paris shall have exclusive jurisdiction over any disputes of any kind, whether on the merits or in summary proceedings, or any disputes relating to the interpretation or performance of these GTC, notwithstanding multiple defendants, incidental claims, or third-party claims.
The Parties agree that all written documents, including electronic documents, exchanged between them, as well as all data, including technical data, shall be considered authentic and valid proof of the content of their exchanges and commitments.

Appendix - Privacy Policy
This privacy policy (hereinafter, the "Privacy Policy") is provided by MARVIN (a French simplified joint-stock company, registered with the Paris Trade and Companies Register under number 907981237, whose registered office is located at 126 rue Saint Maur, 75011 - PARIS, hereinafter, "Marvin") as the data controller of personal data collected during your visit/browsing of our website www.marvinrecruiter.com (the "Website").

Appendix. ARTICLE 1 – Data collected and purposes
When you browse our Site, we may collect the following information:
- information relating to the identification of your device during your browsing of the Site via cookies (please refer to Article 7 below);
- your email address, when you request a demo from Marvin, your first and last name, the name of your company, your current position, your email address, your telephone number, if you already have a solution, the number of people who will use the Marvin solution, the type of profile you are recruiting, as well as any information you choose to include in your message accompanying your demo request. Marvin collects this information in order to contact you regarding a demo of our products.
- Your first and last name, email address, and proof of identity (if applicable, in case of doubt about your identity and for security reasons) when you exercise your rights (under the conditions indicated in Article 6 of the Privacy Policy), in order to respond to your requests.
- When you request a demo, we may offer to record the session, only if you agree. In this case, we collect information about your voice, your image, and our conversation. These recordings are intended solely for Marvin, as indicated below, to improve our marketing performance.
- Any information you choose to provide in the chatbot (provided by Livechat).
- Information marked with an asterisk (*) is mandatory when requesting a demo. If you do not wish to provide this information, you are duly informed that your request may not be forwarded to Marvin.
Appendix. ARTICLE 2 – The legal basis for our processing
The information referred to above is collected on the following legal grounds:
- Validation of the “cookies” banner on the Site allows the collection of your consent (we invite you to refer to article 7 of the Privacy Policy);
- Your consent to the communication of your data, when you request a demo, by checking the corresponding box;
- Your consent to the collection of your data and responses to your requests when you communicate your data to Marvin in order to exercise your rights (as defined in article 6 of the Privacy Policy) and the performance of Marvin's legal obligations to fulfill your request;
- Your consent to record our conversations during our demos, by clicking on the button when the recording option is offered.
If, after giving us your consent, you change your mind and no longer consent to us contacting you, collecting your information or disclosing it, you can notify us by contacting Marvin:

The demonstration videos are for Marvin's internal use only, to improve our marketing performance.
Marvin informs you that, in connection with its demo requests and demo recordings, where applicable, your data may be transferred outside the European Economic Area ("EEA") to the United States via our subcontractors Google (for demos and cookies). Marvin informs you that it has conducted prior checks on transfers outside the EEA and on the safeguards provided by these subcontractors. These transfers are carried out on the basis of Google's standard contractual clauses available on their website.

Appendix. ARTICLE 4 – The retention period for your data
The data collected by Marvin under this agreement is retained for the period necessary for the purpose of the processing or to comply with legal or regulatory obligations, in accordance with applicable laws and regulations, namely:

- Data collected during your use of Marvin is retained for a period of 2 years. Marvin Recruiter undertakes to inform you of the obsolescence of your data no later than sixty (60) days before its expiration.
- When you request the deletion of your account, your data will be deleted within a maximum of thirty (30) days.
- Data collected when requesting a demo: this data is retained for a maximum of thirty (30) days from the date of your demo request.
- Data collected in the context of managing your rights: data is subject to deletion one (1) year in the event of exercising the right of access and rectification from the date of receipt of your request and three (3) years in the event of exercising the right to object from the date of receipt of your request;
Appendix. ARTICLE 5 – Marvin's Obligations
As the data controller for the processing activities defined herein, Marvin undertakes to:
- implement all appropriate technical and organizational measures to ensure the security of the processing carried out, guarantee the protection of your rights and comply with the requirements of the Regulations, when browsing and using our Site;
- restrict access to your data to persons duly authorized for this purpose;
- have raised awareness and trained its staff on data processing, the provisions of the applicable Regulations and their consequences;
- never transfer your data, in any way whatsoever, to a third party without having duly informed you beforehand;
- guarantee all your rights of information, access, portability, erasure, rectification, objection, and limitation to your data collected under the conditions defined in Article 6 of the Privacy Policy;
- notify the competent supervisory authority (the National Commission for Information Technology and Freedoms or CNIL) and yourself, where applicable, of any security breach presenting a high risk to your rights and freedoms within seventy-two (72) hours of discovering the breach, if required by the Regulation;
- proceed with the deletion of your data within the time limits indicated in Article 4 herein.
