These general conditions of sale are up to date on January 29, 2025.

Between: hereinafter Marvin or “The Company”

‍ The 907981237 , and whose head office is located 126 rue Saint Maur, 75011 Paris, France.

and

‍ together

Marvin has the activity of the creation, development and marketing of SAAS software.

Definitions

The term "customer" designates any person, moral or physical, having subscribed to the service of Marvin and having the quality of professional within the meaning of the consumer code.

The term "third party" designates any natural or legal person not party to these general conditions of sale (CGVU).

The term "service" or “software” designates the provision by Marvin from licenses to his recruitment software to the customer.

These CGVUs replace any other previous document, any other written or verbal agreement in relation to the same object, and prevails for any contrary provision which could be contained in the documents emanating from the customer.

1. Article 1 - Object

These general conditions (hereinafter "CGVU) are intended to define the terms and conditions under which Marvin (hereinafter" Company ") provides the Customer (hereinafter" the Customer ") licenses for the use of his recruitment software (hereinafter" the software ").

These general conditions (hereinafter" CGVU ") are systematically sent to each client before subscription.

2. Article 2 - Description of the service

Subject to specific conditions spent between the Customer and Marvin, the service consists in the provision of software accessible in SaaS mode allowing users to:
- Create, store and manage information on companies and candidates
- follow and pilot the recruitment activity and candidates' processes
- disseminate offers on jobs

the company concedes to the customer a non -exclusive and non -transferable right to use the software in accordance with the terms of the present. This right is strictly limited to the number of licenses subscribed by the customer.

Before any use of the site and the service, the customer must ensure that he has the technical and computer means allowing him to use the site and order the services on the site and that its browser allows secure access to the site. The customer must also ensure that the computer configuration of his equipment/equipment is in good working order and does not contain viruses.

The service is accessible online. It gives access to detailed features when subscribing to the service. The company expressly reserves, without compensation, the right to modify, for improvement purposes, without notice and at any time any or part of the service or its terms of access and, if necessary, the presentation and/or the content of the functionalities.

Any additional functionality request will be the subject of an exceptional order between the customer and Marvin, not included in the price of the initial license, and a quote will be established.

Multidiffusion offer:
- Marvin makes a multidiffusion offer available to the customer allowing him to broadcast a job advertisement on different jobboarding, included in the price of his Marvin subscription
- The Customer can send an employment ad on all jobboards that Marvin provides the Customer
- The Customer will have to subscribe if necessary an account with the partner (Jobboard) on which he wishes to disseminate his announcements.
- The multidiffusion offer makes it possible to distribute on jobboards but in no case pay the costs induced by the jobboards themselves if there are (example: price of the jobboard subscription), which will remain the responsibility of the customer.

3. Article 3 - Access to the Service and Maintenance

The customer accesses online service by internet, through the site, using an identifier and a password communicated to him as soon as his account is created.

The Customer will have access to the service in SaaS mode 24/7 except in the event of maintenance operations, any breakdowns or force majeure affecting Marvin.

The Customer does his business to subscribe, with an internet access provider, a subscription allowing him to access the site and the service. The customer ensures the compatibility of his technical environment required for access and/or use of the service.

The Customer undertakes to transmit his data within a reasonable time and in a compatible format so that the Marvin technical teams can integrate them into the tool. No data import work can be done by Marvin if the customer has not made the settlement of his first invoice under the terms of his contract.

The subscription to the service subscribed by the Customer is only valid for its representatives and employees according to the number of effective users of the chosen subscription and can in no case be used by a third party. The customer acknowledges that the service access codes are strictly personal, confidential and intransmitted. The Customer undertakes to preserve the confidentiality of its codes of access to the service and to take any necessary measure in order to prevent the communication of these codes which would allow third parties to illegally access the service.

The Customer undertakes not to resell the services included in the service to its customers or third parties. In the event of non-compliance with this obligation, Marvin may proceed with the immediate suspension of the execution of his services, without having to justify it with the customer.

The service is subject to regular updates by Marvin. Marvin undertakes to do his best so that maintenance operations do not disrupt the use of the customer. When maintenance or update operations lead to the suspension of the service, Marvin undertakes to notify the customer as soon as possible.

The customer at the right to exercise a complaint at the address support@marvinrecruit.com .

4. Article 4 - Duration and renewal

The license is conceded for an initial period of twelve (12) months or more subject to special conditions between the customer and the company, from the date of activation.

The activation date is effective when the customer has access to the tool.

At the end of the initial duration, this is automatically renewed by tacit renewal for an identical period of the initial duration of engagement, except termination in accordance with article 6 or special negotiated conditions.

The customer can add additional licenses to his subscription at any time. These additions will be the subject of a quote and additional invoicing. The validity of the additional licenses conceded will start on the date of activation and the date of end of the commitment will be the date of end of the commitment of the initial contract in such a way to have an equal commitment duration all licenses combined.

5. Article 5 - Price and payment conditions

The price of the user license is indicated by user, in euros and excluding taxes in the quote annexed to the present.

Use licenses are invoiced annually and payable in advance subject to special conditions between the customer and the company.

The Customer will receive from the signing of the quote and the CGVU, an invoice equal to the amount agreed in the quote, and payable by bank card, withdrawal or bank transfer upon receipt of invoice. Payment must take place before the date of user onboarding. Any month started is due in its entirety by the customer.

For renewal invoices, these are payable upon receipt by bank card, withdrawal or bank transfer upon receipt of invoice.

When adding additional licenses in the first year only, the customer will benefit from the same price and commitment conditions as his initial contract. Beyond the first year of engagement, the prices in force at Marvin will be applied. These additional licenses will be invoiced annually and payable in advance upon receipt of invoice, subject to special conditions between the customer and the company.

Marvin may modify the amount of the remuneration of the service subject to informing by all means the Customer at least thirty (30) days before the entry into force of this price modification. The new remuneration of the service only applies to the renewal of the service. The customer is free to oppose the change of price by sending a request to the address support@marvinrecruit.com within ten (10) days following notification to the Customer. In the absence of a request for termination within this period, the Customer is deemed to have accepted the new remuneration of the service.

The company reserves the right to suspend or cancel any execution of the service in the event of default of payment or partial payment of any sum which would be due by the customer to the company.

Any regulation which will take place beyond the deadlines set under this contract, late penalties will be due to the interest rate of 15%. The late penalties due, due at least for a whole year, will be added to the initial capital of the claim and will be productive of interest under the same conditions as this, at the above-mentioned interest rate of 15%.

Any delay in payment leads to the application automatically, to the customer's expenses, a lump sum compensation of 40 euros for recovery costs. In accordance with article L. 441-10 of the Commercial Code, if the recovery costs incurred by the company prove to be higher than the amount of this lump sum indemnity, the latter may request payment of additional compensation.

6. Article 6 - Termination

The Customer will have the ability to terminate his subscription at the end of the end of his commitment period, respecting a notice of one month sent by registered letter with acknowledgment of receipt or by email.

In the event of early termination of the contract, whatever the cause, all the sums remaining due by the customer for his commitment will be immediately due without prejudice to damages which could be due to the company. For any partial or total use of the service, no refund can be offered.

The Company reserves the right to immediately terminate the license in the event of non-payment or serious breach of these GTC.

Customer data will be returned by Marvin in a compatible format (CSV, SQL, JSON). The restitution will be carried out within ten (10) working days following the request for the end of the contract.

7. Article 7 - Guarantee and responsibilities

The Customer is solely responsible for the use he does, in particular concerning the use and interpretation of the information made available to him by Marvin as well as the acts and advice that he deduces as part of his professional practice. Marvin will only be held legal guarantees applicable to his service if necessary, excluding any other guarantee.

Marvin's responsibility, under direct and proven damage caused to the Customer, is limited to the amount of the order in question. In no case will Marvin be held responsible for indirect damage, accessories or individuals as defined by the jurisprudence of the French courts.

Marvin cannot in any case be held responsible: (i) damage due to non -performance by the customer of his obligations; (ii) any financial or commercial damage such as, for example, loss of profit, customer losses, data losses, any commercial disorders, command losses, which constitute unpredictable and indirect damage and therefore do not open up right to repair.

Marvin cannot be held responsible for the non-performance of the contract in the event of force majeure as defined by article 1218 of the Civil Code and the French courts, and in the event of damage due to a third party or attributable to improper use or use uncomfortable by the customer of services, in violation of Marvin's prescriptions or art rules.

8. Article 8 - Intellectual property

The service, as well as all of the data on the site, is protected by copyright and by database law in accordance with the intellectual property code. These elements can in no case be the subject, even partially, of reproduction, representation, loan, exchange, sale, distribution or transmission with the exception of cases expressly authorized by law or provided for in the contract. The functionalities of the service cannot be used for violation or embezzlement of these intellectual property rights.

The Customer forbids any use of the service for purposes other than those expressly provided for in the contract, as well as he refrains from disseminating, publishing, selling or exchanging in any way, the contents to which he accesses and more generally to undermine, directly or indirectly, in any way whatsoever for the rights of Marvin.

The Customer undertakes not to reconstruct or attempt to reconstruct, from data and/or by means of the service, a database aimed at offering, directly or indirectly, free of charge or for consideration, the same service or a comparable service, to all third -party people to his company in order to bypass the personalization of access to the service from which he benefits.

The Customer is more generally undertaken not to infringe the intellectual property rights held by Marvin on the service or any other element appearing on the site protected by an intellectual property right, including brands and logos.

9. Article 9 - Confidentiality of customer data

The provisions concerning the protection of personal data such as the IT law and liberties dated January 6, 1978 modified by the law of June 20, 2018 relating to the protection of personal data and the European regulation on the protection of personal data ("GDPR") are located in an annex document entitled "Privacy Policy" accessible to the following link: https://marvinrecruit.com/politique-de-confidentialite/ 

10. Article 10 - Insurance

Each of the parties undertakes to maintain in force, throughout the duration of completion of the contract, with a notoriously solvent insurance company, an insurance policy guaranteeing damages that may arise in their property and staff, as well as a police cover, as to cover the pecuniary consequences of bodily, material and intangible damage to which it would have to respond, caused by any event and/or Possible partner companies when the contract is executed.

11. Article 11 - General provisions

The contract is interpreted and governed in accordance with French law without taking into account the principles of conflict of laws.

If any provision of these CGVUs or its application to any person or circumstance is deemed zero, this nullity will not concern the other provisions or applications of these CGVU, which will remain in force, separately from the provision deemed zero. To this end, the provisions of these CGVUs are declared autonomous.

The Paris Commercial Court will be solely competent to find out disputes of all kinds, basically or in summary proceedings, or disputes relating to the interpretation or execution of these CGVUs, notwithstanding plurality of defendants, incidental request or appeal in guarantee.

The parties agree that all the writings, in particular the electronic writing, exchanged between them as well as all data, in particular technical, are valid and validly prove the content of their exchanges and their commitments.

Annex. - Privacy Policy

This confidentiality policy (hereinafter, the "Privacy Policy") is provided by Marvin (simplified joint-stock company under French law, registered in the Paris Trade and Companies Register under number 907981237, whose registered office is located 126 rue Saint Maur, 75011-Paris, hereinafter, "Marvin") Your consultation/navigation on our website www.marvinrecruit.com (the "website").

Annex. Article 1 - Data collected and purposes

When you browse our site, we are likely to collect the following information:
- information relating to the identification of your terminal when browsing the site through cookies (please refer to article 7 below);

- When you ask a demo, we are likely to offer you the registration of the session, only if you accept it. In this situation, we collect information on your voice, your image and our exchanges. These recordings are only intended for Marvin, as indicated below, with a view to making an improvement in our marketing performance.
- Any information you choose to provide in the chatbot (supplied by LiveChat),
- the information with an asterisk (*) is compulsory when you request a demo application. In case you do not wish to communicate them, you are duly informed that your request is likely not to be relayed to Marvin.

Annex. Article 2 - The legal foundations of our treatments

The information referred to above is collected on the following legal foundations:
- The validation of the “Cookies” banner present on the site allows the collection of your consent (we invite you to refer to article 7 of the Privacy Policy);

Annex. ARTICLE 4 - The shelf life of your data

The data collected by Marvin in the context of these presents are kept for the duration necessary for the purpose of the treatment or to meet legal or regulatory obligations and this in compliance with the legislation and regulations in force, namely:

- Data collected during your navigation on the Site (Cookies): This information is deleted 3 years (maximum) in the form of a cookie in your browser. Please refer to article 7 and our cookie policy for more information;
- The data collected when using Marvin is kept for a period of 2 years. Marvin Recruite undertakes to inform you of the obsolescence of your data within a maximum of sixty (60) days before their expiration.
- When requesting your account deleting, your data will be deleted within a maximum of thirty (30) days.
- the data collected during the demo request: this data is kept thirty (30) days maximum from your request for demo;
- the data collected within the framework of the management of your rights: the data are subject to a deletion one (1) year in the event of the exercise of the right of access and rectification from the date of receipt of your request and three (3) years in the event of the exercise of the right of opposition from the date of receipt of your request;

As a manager for the treatments defined herein, Marvin undertakes to:
